Section 8 company is a company registered under the companies act, with the objective of charity, social services, promotion and development of society, in the field of commerce, literature, education, arts, commerce, science, and protection of living creature, earth and environment etc. A section 8 company registration run their business activity only to help the weaker section of the society without the motive of earning a profit, they devote their all efforts and resources only in the fulfilment of their objective. The synonym of the section 8 company is NGO or NGO company, NPO company etc. Under the companies act, it can be registered in two ways one in the form of a private limited company and the second one is public limited. If it is registered as a private limited company then a minimum of 2 persons are required and if it is registered as public limited then a minimum of 7 persons are required. There is no minimum capital requirement to start the section 8 company, it can be started with Rs. 1000/- as well. There is no need to renew the license issued by the ministry, once it is registered it is valid for a lifetime until it gets surrendered. But once the company is registered it has to comply with all the annual compliance every year.

Documents Required To Register Section 8 Company:

Director/Member

  • PAN Card
  • Photo
  • Aadhaar card
  • Id proof (voter id/ passport/ driving license)
  • Address proof (bank statement/ mobile bill/ telephone bill/ electricity bill); anyone but not older than 2 months  

Registered Office Proof

  • Sale deed or house tax receipt if owned, rent agreement if rented
  • Utility bill (electricity bill/ mobile bill/ gas bill/ telephone bill); anyone but should not be older than 2 months.
  • NOC from the owner of the property.

Section 8 Company Registration Procedure:

  1. Name Approval Application: Before starting the company registration process the name of the company should be approved by the registrar. And once the name is approved it is valid for 20 days only and in this period the final form shall be submitted to the registrar. The section 8 company gets exemption from the use of the word “private limited” or “limited” at the end of the name. They can use the words like “foundation”, “association”, ‘organisation”, etc. after the name of the company.
  2. DIN & DSC: All directors must have a digital signature before submission of the final form. Without DSC the forms cannot be signed and accepted by the registrar. The directors must have DSC before submission of form but there is no need to have DIN before company registration, earlier it was necessary to DIN before company registration but now it can be applied along with the company registration.
  3. Preparation & Signing Of Documents: After name approval, many documents are needed to be drafted and the same needs to be signed by the directors & members of the company. 
  4. Submission Of Final Form: After completion of all the above steps the final form shall be submitted to the registrar along with all the relevant documents and information. If the registrar is satisfied with the application then he will issue a certificate of incorporation along with the license for section 8 company, PAN and DIN of the director.
